By accessing or using CollabCut ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

CollabCut is a video collaboration platform that allows users to upload, review, comment on, and manage video content. Features include:

  • Video upload and hosting
  • Frame-accurate commenting and annotation
  • Team collaboration and project management
  • Version control and comparison
  • Secure sharing and access controls

3. Account Registration

Eligibility

You must be at least 18 years old to use this Service. By creating an account, you represent that you are of legal age.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Upload illegal content: Content that violates any law or regulation
  • Infringe copyrights: Content you don't own or have permission to use

5. Content Ownership and Rights

Your Content

You retain all ownership rights to content you upload ("Your Content"). By uploading content, you grant CollabCut a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your content
  • Process and transcode videos for playback
  • Create thumbnails and previews
  • Backup and replicate for redundancy
  • Provide the Service to you and your collaborators

This license ends when you delete your content or close your account.

CollabCut's Rights

All intellectual property rights in the Service (software, design, trademarks, etc.) belong to CollabCut. You may not use our trademarks without written permission.

Content Responsibility

You are solely responsible for Your Content. You represent and warrant that:

  • You own or have the necessary rights to upload the content
  • Your content does not violate any third-party rights
  • Your content complies with all applicable laws

6. Payment and Billing

Subscription Plans

Paid subscriptions are billed in advance on a monthly or annual basis. Prices are available on our Pricing page.

Payment Processing

Payments are processed through Stripe. We do not store your credit card information. By subscribing, you authorize us to charge your payment method.

Automatic Renewal

Subscriptions automatically renew unless canceled before the renewal date. You can cancel anytime from your account settings.

Refunds

Refunds are provided on a case-by-case basis at our sole discretion. To request a refund, contact collabcut@gmail.com.

Price Changes

We may change our prices with 30 days' notice. Price changes do not affect current subscription periods.

7. Service Level and Availability

We strive to provide reliable service, but we do not guarantee:

  • Uninterrupted or error-free service
  • Specific uptime percentages
  • That the Service will meet your specific requirements

We may perform maintenance, which may temporarily affect availability. We will provide advance notice when possible.

8. Data Backup and Loss

While we implement backup procedures, you are responsible for maintaining your own backups of important content. We are not liable for any data loss.

9. Termination

By You

You may cancel your subscription or delete your account at any time from your account settings. Upon cancellation:

  • Paid subscriptions continue until the end of the billing period
  • No prorated refunds for partial periods
  • You can request account deletion with a 30-day grace period

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent activity
  • Upload illegal or harmful content

We will provide notice when possible, but may terminate immediately for serious violations.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your content may be deleted after a grace period.

10. Copyright and DMCA

We respect intellectual property rights. If you believe content infringes your copyright, please email collabcut@gmail.com with:

  • Description of the copyrighted work
  • Location of the infringing content (URL)
  • Your contact information
  • A statement of good faith belief
  • A statement under penalty of perjury that the information is accurate
  • Physical or electronic signature

We will investigate valid DMCA notices and remove infringing content. Repeat infringers may have their accounts terminated.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • SECURITY OR ACCURACY

We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLABCUT SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, DATA, OR USE
  • BUSINESS INTERRUPTION
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR CONTENT

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless CollabCut, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

14. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

15. Export Controls

The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations.

16. Modifications to the Service

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

17. Third-Party Services

The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of third parties.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CollabCut regarding the Service.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
